Funds Lawyer – Luxembourg Fund Platform

About the role

Titanbay is seeking a Funds Lawyer to join its growing Legal team and support the expanding Luxembourg fund platform, including RAIFs, UCI Part II vehicles and AIFs.

Key responsibilities

• Support formation, structuring, and ongoing operation of Luxembourg fund vehicles (RAIFs, UCI Part II funds, AIFs, SCSp).
• Assist with CSSF filings, notifications, and day‑to‑day regulatory correspondence.
• Draft and review fund documentation such as offering memoranda, limited partnership agreements and subscription agreements.
• Support side‑letter negotiation and MFN administration for Luxembourg vehicles.
• Ensure fund structures comply with Luxembourg and EU regulatory requirements (AIFMD, CSSF circulars, ESMA guidance).
• Review and negotiate service‑provider agreements – AIFM, administration, depositary and distribution agreements – specific to Luxembourg.
• Support cross‑border distribution and marketing notifications, including AIFMD passporting and NPPR.
• Assist with legal due‑diligence on Luxembourg fund structures, preparing reports and investor comment memos.
• Support corporate actions and company secretarial matters for Luxembourg entities, including board support and minute‑taking.

Required profile

• Luxembourg‑qualified lawyer (avocat à la Cour) or common‑law equivalent with 6–8 years PQE in investment funds, private‑markets/alternative‑investment‑fund experience.
• Hands‑on experience in a Luxembourg law firm on fund formation and investment‑fund work, especially AIFs, with exposure to RAIFs, SCSp or UCI Part II vehicles.
• Good working knowledge of AIFMD, CSSF regulatory requirements and ESMA guidance; direct CSSF exposure is a strong plus.
• Strong drafting skills and a track record of owning discrete fund‑formation workstreams.
• Ability to work closely with senior Luxembourg‑focused colleagues while building towards greater autonomy.
• Collaborative and communicative, able to work across functions, jurisdictions and time zones with a UK/Ireland‑based leadership team.
• Curious about technology and open to using modern tools, including AI, to work more efficiently.
