Corporate Secretary Associate – Luxembourg

About the role

Finance in Motion is seeking a highly organized Corporate Secretary Associate to support the governance of Luxembourg‑regulated investment funds. The role will work closely with board members, conducting officers and internal stakeholders to ensure smooth operation of board and committee processes.

Key responsibilities

• Organise and coordinate AIFM Board meetings, Conducting Officer meetings and fund Board/Committee meetings.
• Manage governance calendars, agendas, meeting logistics and documentation timelines.
• Prepare, compile and distribute board and committee materials via board‑portal software.
• Liaise with directors, fund administrators, legal advisors, auditors and other stakeholders to ensure timely delivery of documentation.
• Draft board minutes, resolutions, action logs and maintain statutory records and governance registers.
• Monitor implementation of board decisions and follow‑up on action items.
• Support preparation and filing of regulatory and corporate submissions, including CSSF filings.
• Assist in maintaining and enhancing governance policies, procedures and internal frameworks.
• Facilitate communication between Boards, Conducting Officers, shareholders and external service providers.

Required profile

• Bachelor’s degree in Law, Business Administration, Corporate Governance, Finance or a related field.
• 3–5 years of professional experience in the Luxembourg investment‑funds industry (AIFM, management company, asset manager, fund administrator, law firm or governance services provider).
• Proven experience supporting Luxembourg‑regulated fund structures and organising board meetings.
• Strong understanding of Luxembourg fund governance and regulatory requirements.
