Corporate Governance Counsel

About the role

Satispay is seeking a Corporate Governance Counsel to bridge corporate structure, regulatory expectations, and business strategy. You will ensure that the company’s governance framework supports its rapid growth while remaining fully compliant with Luxembourg regulations.

Key responsibilities

• Lead the legal implementation of Luxembourg’s Circular CSSF 26/906, guaranteeing robust governance between supervisory and management bodies.
• Support corporate bodies to maintain legally sound decision‑making processes and administrative centers.
• Manage legal aspects of the Board of Directors, committees, and shareholders’ meetings, including drafting minutes and resolutions.
• Identify and advise on governance upgrades needed as the business scales, influencing organizational design from a regulatory perspective.

Required profile

• 7‑10 years of experience as a lawyer in top‑tier Luxembourg or international law firms, with significant in‑house exposure to regulated fintech, banking, or insurance.
• Deep knowledge of Luxembourg’s regulatory landscape and proven expertise in complex corporate governance structures.
• Strategic, risk‑based mindset capable of balancing regulatory compliance with business agility.
• Strong communication skills for advising senior management, the Board, and external stakeholders.

Required skills

• Fluency in English; French and Italian are a plus.
