Legal Counsel – Investment Fund Lawyer (Private Markets)

About the role

Join Mercer, a Marsh business, as an Investment Fund Lawyer in Luxembourg. You will support the global private markets platform, handling fund structuring, formation, and strategic projects.

Key responsibilities

• Own the legal aspects of fund structuring, including developing internal templates and procedures.
• Provide legal advice on multi‑investor funds, mandates, and separate accounts for international investors.
• Draft, review, and negotiate constitutional documents and side letters.
• Collaborate with internal teams and external counsel to deliver projects on time and within budget.
• Support strategic initiatives and internal legal projects.

Required profile

• 2‑4 years post‑qualification experience in a law firm or in‑house legal department within the private markets industry.
• Strong understanding of closed‑ and open‑ended funds and separate accounts.
• Experience with Luxembourg fund structures; knowledge of other jurisdictions is a plus.
• Excellent organisational, analytical and negotiation skills.
• Proactive, commercial acumen and ability to manage multiple deadlines.

Required skills

• Fluent English; additional languages such as German are a strong plus.
