Legal Counsel – Investment Fund Lawyer / Private Markets

About the role

Join Mercer, a Marsh business, as an Investment Fund Lawyer in Luxembourg, supporting the global private markets investment business. You will manage fund structuring, formation, and negotiations across a variety of funds and separate accounts.

Key responsibilities

• Take ownership of the legal aspects of the structuring process, including developing internal templates, processes, and procedures.
• Provide legal support and advice on fund formation, mandates, and separate accounts for international investors.
• Draft, review, and negotiate fund and separate account constitutional documents, including side letters.
• Collaborate with internal teams and external counsel to ensure timely delivery of projects within scope and budget.
• Support strategic projects impacting the private markets structuring process and wider legal initiatives.

Required profile

• 2‑4 years post‑qualification experience in a law firm or legal department of an asset or fund manager.
• Strong understanding of closed‑ and open‑ended funds and separate accounts.
• Experience with Luxembourg private markets fund structures; knowledge of other jurisdictions is a plus.
• Excellent organisational, analytical, negotiation and communication skills.
• Proactive, commercial acumen and ability to work in a fast‑paced environment.
