Assistant Manager - Legal and Transactions

About the role
The Assistant Manager – Legal and Transactions supports client transaction activities and corporate governance in Luxembourg. You will coordinate board and shareholder meetings, ensure accurate minutes and statutory registers, and develop legal templates while maintaining compliance with internal processes.
Key responsibilities
- Support execution and structuring of complex transactions such as fund formations, acquisitions, disposals, restructurings, and financing arrangements.
- Manage transaction workflows, liaising with external legal counsel, notaries, banks, tax advisors, and fund administrators.
- Review and oversee execution of transaction documentation, including investment, share purchase, subscription, and loan agreements.
- Supervise fund flows, capital contributions, and distributions, ensuring proper documentation and compliance with legal and tax requirements.
- Coordinate with regulatory authorities and auditors on transaction‑related matters.
- Prepare and review board packs and provide input on board materials.
- Serve as primary client contact, fostering strong relationships with investors, fund sponsors, investment managers, legal counsel, and financial institutions.
- Lead, mentor, and review the work of team members, supporting recruitment and professional development.
- Perform ad‑hoc tasks and submit timesheets accurately.
Required profile
- Ability to work independently, own operational challenges and make decisions.
- Strong analytical mindset with capacity to develop creative, balanced solutions.
- Proven ability to manage multiple projects simultaneously while meeting deadlines.
- Excellent knowledge of Luxembourg corporate law and its application to funds and other structures.
- Understanding of fund structures (e.g., SCSps managed by full‑scope AIFMs, LPAs) and AIFMD regulatory requirements.
- Familiarity with AML/KYC compliance and Luxembourg regulatory framework.
