Senior Legal Counsel – Investment Funds

About the role

We are seeking a Senior Legal Counsel to join the Luxembourg Management Company of an international asset‑management group. The role offers broad exposure to fund structuring, corporate governance, regulatory matters and strategic initiatives across a range of investment vehicles.

Key responsibilities

• Provide legal advice on investment funds, corporate governance, financial‑services regulation and commercial matters.
• Support the structuring, launch and ongoing management of UCITS and alternative investment funds.
• Draft, review and negotiate fund documentation, commercial agreements, service‑provider contracts and corporate documents.
• Partner with product management and other functions to develop and enhance investment products.
• Monitor regulatory developments in Luxembourg and Europe and ensure compliance.
• Maintain relationships with regulatory authorities and assist with filings.
• Oversee corporate‑governance documentation for the Management Company and its European branches.
• Manage external counsel on specialist matters and oversee litigation support when required.
• Deliver legal training and guidance to internal stakeholders.

Required profile

• Master’s degree in Law, preferably with a focus on corporate, business or financial law.
• 8–15 years of legal experience in Luxembourg investment funds, ideally within a management company, asset manager, depositary bank or similar institution.
• Strong expertise in Luxembourg fund structures (UCITS, AIFs) and corporate law.
• In‑depth knowledge of European regulatory frameworks applicable to investment funds.
• Proven track record supporting fund structuring, product development and regulatory compliance.
