Senior Fund Corporate Officer – Luxembourg

About the role

We are seeking a Senior Fund Corporate Officer to join the Corporate Legal Department of a prestigious management company in Luxembourg. The role offers exposure to sophisticated investment fund structures and a highly international environment, where you will play a key part in the governance of Luxembourg entities.

Key responsibilities

• Manage day‑to‑day corporate governance of Luxembourg fund vehicles and related entities.
• Organise and coordinate board and shareholders' meetings, drafting agendas, minutes, proxies and resolutions.
• Coordinate fund closings and corporate actions together with legal, finance, compliance and external counsel.
• Maintain statutory registers, corporate records and signature authorisations.
• Liaise with notaries, banks, service providers and Luxembourg authorities for filings and legal documentation.
• Oversee AML/KYC onboarding processes for investors, shareholders and directors.
• Ensure proper archiving, compliance and follow‑up of corporate documentation and regulatory filings.

Required profile

• 5–7 years of experience in funds, corporate governance, legal or corporate services.
• Strong background in organising boards, AGMs and drafting corporate documentation.
• Mandatory exposure to investment funds or asset‑management structures.
• Fluent in French and English, both written and spoken.
• Excellent organisational skills with strong attention to detail.
• Ability to manage multiple priorities in an international setting.
