Senior Corporate Officer – 12‑Month Fixed‑Term (Maternity Cover)

About the role

We are supporting a mid‑market private‑equity firm in Luxembourg with a 12‑month fixed‑term contract to cover a maternity leave. The Senior Corporate Officer will ensure smooth corporate governance, board administration and legal documentation throughout the assignment.

Key responsibilities

• Organise board meetings, AGMs, EGMs and audit committees, preparing packs and drafting notices, proxies and minutes.
• Maintain corporate registers, share registers and structure charts; manage signature processes for legal documents.
• Handle KYC updates and respond to external KYC requests.
• File statutory documents with RCS and RBO, and review standard legal documentation.
• Liaise with auditors, banks, investors and other external parties on ad‑hoc requests.
• Prepare and manage the full lifecycle of Management Incentive Plan (MIP) documentation and payments.
• Support transaction teams on capital changes, add‑ons and sales, drafting related legal documents such as loan agreements and shareholder notices.

Required profile

• Academic degree in law, finance or economics.
• Minimum 4 years of experience in a trust company, fund, or Luxembourg‑based holding structure.
• Excellent drafting and writing abilities.
• Highly organised, able to prioritise and meet tight deadlines.
• Fluent English; French or German considered an asset.
• Proactive, motivated and team‑oriented.
