Mid-Level Funds Lawyer – Investment Funds & Company Secretary

About the role

The Fund Legal Department of Nomura Bank (Luxembourg) S.A. is seeking a mid‑level Investment Funds Lawyer on a permanent contract. You will support the set‑up, restructuring and liquidation of Cayman‑ and Luxembourg‑domiciled investment funds and perform company secretarial duties for Cayman subsidiaries.

Key responsibilities

• Draft legal documents for fund set‑up, restructuring and liquidation in coordination with promoters, investment managers and external counsel.
• Participate in meetings and conference calls, review and execute legal documents related to fund transactions.
• Communicate and coordinate with various departments within NBL.
• Maintain safekeeping of original documents and update the legal database.
• Perform company secretary functions for the Cayman Islands subsidiaries of NBL.
• Monitor legislative and regulatory updates and assess their impact on the business.

Required profile

• Law degree (preferably Luxembourg, European or UK/common‑law jurisdiction); bar admission is a plus.
• Solid fund‑legal experience as a law‑firm lawyer or in‑house counsel at a financial institution.
• Familiarity with financial regulations in Luxembourg, Europe and the Cayman Islands.
• Good understanding of investment‑fund structures, especially Cayman‑ and Luxembourg‑domiciled funds.
• Knowledge of company‑secretary duties, corporate governance and regulatory monitoring.
• Excellent written and spoken English; French is a plus.
