Legal Portfolio Manager – Conducting Officer for AIFM

About the role

We are looking for a qualified lawyer to join a globally active venture capital firm as a Legal Portfolio Manager. The role will act as Conducting Officer for Portfolio Management within the firm’s Luxembourg AIFM, ensuring that financing and investment documentation remains fully compliant with regulatory requirements.

Key responsibilities

• Act as Conducting Officer for Portfolio Management, acceptable to the CSSF.
• Ensure financing and investment documentation across the portfolio is legally sound, reflects the company’s economic position, and complies with regulatory constraints.
• Report directly to the Managing Director of the AIFM.
• Collaborate with a small legal team in Germany and the US, maintaining full oversight, proper documentation, and regulatory compliance.
• Serve as the primary contact with the CSSF on portfolio management matters.
• Prepare materials for Conducting Officers' and Board meetings, including deal and portfolio overviews.
• Maintain proper document filing to give the Board full visibility on portfolio activity.
• Coordinate deal execution with outside counsel and internal teams.
• Track deals and portfolio status using internal tools such as Monday.com and Vestlane.

Required profile

• Qualified lawyer with 2 to 8 years of experience.
• Transactional background, ideally in venture capital, but M&A or private equity experience is also considered.
• Comfortable working across legal, compliance, and business functions.
• Eligible or willing to become acceptable to the CSSF as a Conducting Officer.
• Fluent in English; French or German is an advantage.
