Legal Counsel – Corporate (Luxembourg)

About the role

Our client, a leading private equity firm, is seeking a Legal Counsel – Corporate to join its Luxembourg legal team. The role focuses on corporate governance, M&A transactions and the management of holding structures within a multicultural financial environment.

Key responsibilities

• Advise on corporate matters including M&A, restructuring, governance and transactional activities.
• Draft, review and negotiate legal documents such as agreements, resolutions and minutes.
• Establish, oversee and liquidate holding structures, from fund vehicles to SPVs.
• Manage governance frameworks for in‑house entities and maintain statutory records.
• Coordinate board meetings, prepare agendas, conduct meetings, draft minutes and ensure smooth processes.
• Support portfolio acquisitions, add‑ons, restructuring projects and exit processes.
• Review and prepare legal and funding documentation and monitor deal fund flows.
• Provide legal support for management incentive plan transactions and annual accounts approval.
• Act as primary contact for external legal advisors, notaries and third parties.
• Collaborate with stakeholders, external administrators and advisors, and answer Luxembourg corporate law queries.
• Support process automation and legal‑tech implementation, and maintain structure charts.

Required profile

• Master’s degree in law; bar admission or equivalent qualification.
• Minimum of 4 years of professional experience in corporate law, preferably in Luxembourg law firms or in‑house legal departments.
• Fluency in French and English with excellent communication skills.
• Strong attention to detail, organisational abilities and a high sense of responsibility.
• Ability to work independently and as part of a team, with a commitment to excellence.
• Valid Luxembourg work permit is required.
