Corporate Legal Officer – Client Entity Management

About the role

TMF Group is seeking a Corporate Legal Officer to support the full lifecycle of client entities, from incorporation through ongoing corporate governance. You will work closely with internal teams and external partners to ensure compliance, draft legal documentation, and maintain strong client relationships.

Key responsibilities

• Incorporate and set up new client companies.
• Perform compliance onboarding and ongoing compliance reviews.
• Prepare TMF service agreements, board and shareholder meeting minutes, and transaction documents such as loan agreements and amendments.
• Draft documentation for annual accounts, audits, and director/manager changes.
• Open new bank accounts and manage periodic bank compliance requests.
• Correspond with client representatives, business partners, and legal/tax advisors, independently or with senior legal staff.
• Maintain corporate files in Viewpoint and record daily time‑writing for accurate chargeability.

Required profile

• Law degree in Corporate Law or equivalent company secretarial certification; paralegal experience acceptable.
• 2‑4 years of experience in a corporate service provider or fiduciary environment.
• Fluent written and spoken English; French is a plus.
• Strong corporate secretarial and drafting abilities.
• Excellent interpersonal and communication skills.

Required skills

• Proficiency with Viewpoint (time‑tracking and corporate file management system).
