Experienced Corporate M&A Lawyer

About the role

Arendt & Medernach is seeking an experienced lawyer to join its corporate M&A team in Luxembourg. The role involves providing comprehensive legal services for a wide range of corporate transactions to multinational corporations, major commercial companies, ambitious domestic entrepreneurs, and visionary start‑ups.

Key responsibilities

• Advise on domestic and cross‑border merger and acquisition transactions, multi‑jurisdictional corporate restructurings, and change‑of‑control deals.
• Handle fundraising, acquisition, sale or reorganisation of subsidiaries, division and asset deals, joint ventures, strategic alliances, recapitalisations and liquidations.
• Provide ongoing counsel to in‑house legal teams on company law, corporate governance, fiduciary duties, compliance and director/officer liability.
• Participate in client meetings and conference calls, draft opinions and legal documents under partner supervision.
• After an integration period, guide and train junior lawyers, organise work and facilitate knowledge sharing.
• Manage files with increasing autonomy.

Required profile

• University law degree (Master 1 or 2), preferably complemented by an LL.M. from an English‑speaking country.
• Minimum of 3 years of professional experience in corporate law in Luxembourg.
• Fluency in English; French or German is a plus.
• Strong analytical rigor, listening skills and the ability to build trust with internal and external contacts.
• Open‑minded, dynamic, flexible and capable of working independently and as part of a team.
