Senior Corporate Officer – Private Equity Legal Counsel

About the role

Our client, a private equity firm, is seeking an experienced Senior Corporate Officer to lead legal and compliance activities for its Luxembourg holding companies. The role combines corporate governance, secretarial duties, and regulatory compliance within a dynamic private‑equity environment.

Key responsibilities

• Manage day‑to‑day legal and compliance functions for Luxembourg entities.
• Support the authorised manager with regulatory compliance responsibilities.
• Prepare board minutes, written resolutions, and other corporate documents.
• Organise board meetings, brief managers on agenda items, and ensure proper approvals.
• Maintain corporate registers and oversee notarial meetings as required.
• Draft and execute legal documents, coordinating with external counsel when needed.

Required profile

• 3‑5 years of experience in corporate or legal governance, preferably within a private‑equity firm.
• Fluent written and spoken English; French proficiency is desirable.
• Strong analytical, writing, and oral presentation abilities.
• Proven ability to think broadly about legal and compliance issues and propose effective solutions.
• Excellent organisational and project‑management skills, capable of handling multiple assignments simultaneously.
