Corporate Legal Officer – Client Entity Management

About the role

TMF Group is seeking a Corporate Legal Officer to support the full lifecycle of client entities, from incorporation through ongoing corporate governance. You will ensure compliance, draft legal documentation, and maintain strong client relationships while collaborating with internal teams and external partners.

Key responsibilities

• Incorporate and set up new client companies.
• Perform compliance onboarding and ongoing reviews for client entities.
• Prepare TMF service agreements, board and shareholder meeting minutes, and various transaction documents (loan agreements, amendments, POAs, etc.).
• Draft documentation for annual accounts approval and assist auditors.
• Handle manager/director replacements, open new bank accounts, and manage periodic bank compliance requests.
• Correspond with client representatives, business partners, and legal/tax advisors, independently or with senior legal staff.
• Update corporate files in the Viewpoint system and record daily time‑writing for chargeability and invoicing.

Required profile

• Lawyer qualification in Corporate Law or a company secretarial certification (or equivalent experience such as paralegal).
• 2‑4 years of relevant experience in a corporate service provider or fiduciary environment.
• Fluent written and spoken English; French is a plus.
• Strong corporate secretarial and drafting abilities.
