Senior Corporate Officer

About the role

We are seeking a Senior Corporate Officer to join our Legal and Domiciliation Team. You will manage the corporate lifecycle of a portfolio of investment funds (UCITS, AIFs, and non‑regulated vehicles) and act as a central point of reference for day‑to‑day governance and operational matters.

Key responsibilities

• Handle fund files from incorporation through liquidation or dissolution.
• Prepare and organise board meetings, board packs, draft minutes and resolutions, and ensure follow‑up of legal administration.
• Coordinate opening of bank accounts and convene shareholder meetings, drafting proxies and minutes.
• Manage statutory and regulatory filings (RCS/RBE) and the approval process of annual accounts.
• Track corporate events such as board appointments, removals and renewals.
• Liaise with auditors, notaries, banks and other internal or external stakeholders.
• Organise signature of legal documents and maintain physical and electronic archives.
• Support the legal team and internal processes as needed.

Required profile

• Minimum 2 years experience as a Corporate Officer in a PFS, Management Company or AIFM in Luxembourg.
• Proven ability to work autonomously on full fund lifecycles.
• Fluent English; French or another language is a plus.
• Bachelor’s or Master’s degree in Law or a related legal qualification (strong asset but not mandatory).
• Open‑minded, enthusiastic personality with strong organisational and communication skills.
