Senior Corporate Officer – Fund Management

About the role

Cresvia Capital Fund Management S.A. is seeking a Senior Corporate Officer to own a portfolio of funds and lead the fund set‑up and structuring function within its Luxembourg AIFM. Reporting to the Director of Corporate Management, the role combines deep corporate governance expertise with direct client‑facing responsibilities, ensuring the operational and regulatory integrity of the group.

Key responsibilities

• Serve as the primary internal and external contact for all corporate matters of a dedicated fund portfolio, building trusted relationships with promoters, investors and advisers.
• Lead end‑to‑end fund set‑up and structuring across real‑estate, private‑equity, loan, infrastructure and fund‑of‑funds strategies, translating commercial mandates into viable fund structures.
• Prepare term sheets, structure charts, implementation timelines and coordinate all workstreams through to fund launch.
• Manage the full lifecycle of board and shareholder meetings, including agenda setting, board packs, minute‑taking and follow‑up actions.
• Draft and maintain resolutions, proxies and corporate authorisations in line with Luxembourg company law.
• Maintain statutory registers of shareholders, directors and ultimate beneficial owners, and oversee RCS and RBE filings.

Required profile

• Significant experience in corporate governance and fund administration within a Luxembourg AIFM or similar environment.
• Proven ability to manage client relationships and act as the main point of contact for fund‑related corporate issues.
• Strong organisational skills with a track record of coordinating multi‑disciplinary workstreams and meeting regulatory deadlines.

Required skills

• In‑depth knowledge of Luxembourg corporate law and AIFM regulatory framework.
• Experience drafting board resolutions, shareholder meeting minutes and corporate authorisations.
• Proficiency in maintaining statutory registers and handling RCS/RBE filings.
