In-House Lawyer

About the role

Our client, a dynamic private‑equity investment group, is expanding its Luxembourg legal team and seeks an In‑House Lawyer. The role offers the chance to move from a law‑firm environment into an in‑house setting, working on complex corporate transactions and governance matters within a fast‑growing investment portfolio.

Key responsibilities

• Advise on corporate governance, mergers & acquisitions, and restructuring projects.
• Draft, review and negotiate a wide range of legal and corporate documents.
• Manage the legal lifecycle of holding structures, including formation, compliance and dissolution.
• Coordinate board and shareholder meetings and ensure accurate corporate records.
• Support portfolio company transactions, financing rounds and exit activities.
• Liaise with external counsel, notaries and other advisors.
• Contribute to process improvements and the implementation of legal‑tech initiatives.

Required profile

• Master’s degree in Law; bar admission is a plus.
• Minimum 4 years of corporate law experience, preferably in a Luxembourg law firm.
• Strong understanding of private‑equity structures and Luxembourg company law.
• Excellent drafting and communication abilities in English and French.
• Well‑organized, detail‑oriented and able to work independently as well as part of a team.
