Senior Corporate Counsel – Brazilian Law

About the role

We are looking for a highly experienced Senior Corporate Counsel to join the Legal Department of an international banking institution based in Luxembourg. The role focuses on advising on complex cross‑border corporate matters that involve Brazilian law and supporting the Bank’s international business and structuring activities.

Key responsibilities

• Provide expert legal advice on Brazilian corporate and commercial law matters.
• Support the structuring, implementation and maintenance of corporate and investment structures involving Brazilian entities.
• Advise internal stakeholders on legal risks related to corporate transactions and governance.
• Draft, review and negotiate a broad range of legal documentation.
• Coordinate with external counsel in Brazil and other jurisdictions as required.
• Ensure compliance with applicable Brazilian legal and regulatory requirements.
• Work closely with business, compliance, tax and other internal functions on cross‑border projects.
• Monitor legal and regulatory developments in Brazil and assess their impact on the Bank’s activities.

Required profile

• Master’s degree in Law (LL.M. or equivalent).
• At least 8 years of relevant post‑qualification experience.
• Outstanding expertise in Brazilian Corporate Law and Brazilian Commercial Law.
• Proven experience in investment funds and/or corporate structuring within the Luxembourg market.
• Experience gained in an international law firm, financial institution or asset‑management environment is highly desirable.
• Strong analytical, drafting and negotiation skills.
• Ability to manage complex cross‑border legal matters independently.
• Excellent communication and stakeholder management skills.
• Fluent in English (written and spoken); Portuguese mandatory; French considered an asset.
