Head of Legal & Governance

About the role

We are seeking a senior legal professional to lead our Legal and Governance department. Reporting to the Group Country Head, the Head of Legal & Governance will shape the company’s legal strategy and ensure compliance across all operations.

Key responsibilities

• Establish and oversee procedures to control legal risks in line with ADEPA’s policy framework.
• Monitor legal and regulatory developments, assess impact, and implement necessary controls.
• Provide strategic legal advice to the Board and senior management.
• Draft, review and negotiate key legal documents such as fund offering materials, circular resolutions, shareholder notices, service agreements and other contracts.
• Manage relationships with external law firms, negotiate budgets and monitor compliance.
• Lead, mentor and develop the legal and governance teams, promoting integrity and regulatory excellence.
• Ensure compliance with CSSF regulatory requirements and internal policies, aligning legal, compliance and operational functions.
• Oversee fund structuring, product governance and cross‑border distribution processes.
• Support Group and Funds’ boards and committees and help implement best corporate governance practices.

Required profile

• Law degree with at least 10 years of relevant legal experience.
• Deep understanding of Luxembourg investment fund structures, fund laws and regulations.
• Good knowledge of the AML/CTF legal and regulatory framework.
• Strong expertise in Luxembourg company law.
• Fluent in English (written and oral); professional proficiency in Spanish, Italian and/or French is highly valued.
• Proficiency with Microsoft Outlook, Word and Excel.
