Compliance Officer & Board Secretary (Finance & Projects)

About the role

We are looking for a proactive Compliance Officer who will also serve as Secretary of the Board for Teseos, a subsidiary within the Encevo Group. The role combines governance oversight, regulatory monitoring, and board administration to support the company’s contribution to Luxembourg’s energy transition.

Key responsibilities

• Collaborate with Group and local compliance officers to define and prioritize yearly governance topics.
• Provide compliance advice, recommendations, and support to management and employees.
• Assist subsidiary managers in operational compliance matters and promote synergies within Encevo’s compliance community.
• Monitor adherence to applicable laws, regulations and internal policies.
• Support risk‑management and communication functions with ad‑hoc tasks.
• Organise and coordinate Board of Directors meetings, prepare agendas, board packs and supporting documentation.
• Draft, maintain and archive minutes, resolutions and corporate records for the Board and all Teseos entities.
• Ensure timely filing and publication of required documents in the trade register.

Required profile

• Master’s degree or equivalent qualification in Business Administration, Law or a related field.
• Minimum 5 years of experience in a similar compliance or board secretarial role.
• Proven ability to drive change across multi‑entity organisations.
• Strong collaboration and communication skills.
• Fluent written and spoken English; French and/or German are a strong asset.
