Corporate Governance Counsel

About the role

As a Corporate Governance Counsel you will bridge corporate structure, regulatory expectations and business strategy to shape Satispay’s governance framework. You will work closely with senior management, the Board and external stakeholders to ensure robust and transparent governance.

Key responsibilities

• Lead the legal implementation of Luxembourg’s regulatory framework on internal governance and central administration (Circular CSSF 26/906).
• Support corporate bodies to ensure decision‑making processes and administrative centres are legally sound and compliant.
• Direct the legal management of the Board of Directors, committees and shareholders’ meetings, drafting complex minutes and resolutions.
• Identify governance upgrades needed as the company scales and advise on organisational design from a governance/regulatory perspective.

Required profile

• Lawyer with 7‑10 years of experience in top‑tier Luxembourg or international law firms, preferably with in‑house experience in regulated fintech, banking or insurance.
• Deep understanding of the Luxembourg regulatory landscape.
• Proven track record in managing complex corporate governance structures.
• Strategic and risk‑based mindset, balancing regulatory requirements with business agility.
• Excellent communication skills, able to advise senior management, the Board and external stakeholders.
• Fluent in English; French and Italian are a plus.
