Vice President – Senior Legal Counsel (Luxembourg)

About the role

Our client, a leading international alternative asset manager, is looking for a Vice President – Senior Legal Counsel to join its Luxembourg platform. The role is embedded in Fund Operations and serves as the primary legal resource for Luxembourg‑domiciled alternative investment funds and related holding structures.

Key responsibilities

• Act as the main legal contact for day‑to‑day management of RAIFs, SIFs, SCSp, SICAVs, SICARs and Soparfi holding companies.
• Support the creation, launch and reorganisation of funds and holding structures, drafting and negotiating LPAs, subscription agreements, side letters, management agreements and service provider contracts.
• Coordinate fund closings, investor onboarding, capital calls and distributions from a legal and governance perspective.
• Provide legal support throughout the investment lifecycle, including acquisitions, disposals, financings, restructurings, joint ventures and secondary transactions.
• Manage relationships with external stakeholders such as law firms, administrators, depositaries, auditors and tax advisers.
• Collaborate with internal teams (Investment, Asset Management, Tax, Compliance, Finance) to ensure efficient execution of operational and strategic initiatives.

Required profile

• Qualified lawyer with extensive experience in Luxembourg fund law and corporate governance.
• Proven track record of handling complex fund structuring, documentation and cross‑border transactions.
• Strong ability to work with multiple internal and external stakeholders across jurisdictions.
