Corporate Lawyer – Contract Negotiation (Pre‑M&A)

About the role

Avantia Law is seeking an experienced corporate lawyer to lead the negotiation of investment‑related NDAs, confidentiality agreements, engagement letters and other commercial contracts. You will manage the full document lifecycle, from review and negotiation guided by client playbooks to final execution, while serving as the primary day‑to‑day contact for our private‑equity and asset‑management clients.

Key responsibilities

• Review and negotiate high volumes of pre‑M&A contracts, liaising directly with counterparties and meeting agreed turnaround times.
• Maintain and update client playbooks on an ongoing basis.
• Act as a trusted advisor, strengthening client relationships and positioning yourself as the go‑to corporate law expert.
• Collaborate with fellow Avantia lawyers and paralegals, review junior team members’ work and contribute to training initiatives.

Required profile

• Licensed to practice law in the UK, Europe, the US or Canada.
• Minimum 5 years of corporate/transactional law experience.
• Experience negotiating pre‑M&A contracts such as NDAs, NRLs, joinders and engagement letters.
• Familiarity with asset managers, investment banks or other financial‑services firms is highly preferable.
• Comfortable in a fast‑paced, dynamic environment and able to work independently and as part of a team.
• Strong work ethic, excellent verbal and written communication, and a commercial, pragmatic outlook.
• Self‑starter with a keen interest in legal technology and artificial intelligence.
